Gavin v. AT&T Corp.
Gavin v. AT&T Corp., 464 F.3d 634 (7th Cir. 2006) (Corporation charged shareholders for delivery of stock certificates in connection with a merger when shareholders could have obtained certificates for free. The Seventh Circuit Court of Appeals reversed the district court’s dismissal, pursuant to the Securities Litigation Uniform Standards Act, because the exchange of stock certificates was not sufficient in connection with the merger that caused the stock certificate exchange. The Seventh Circuit remanded the case to the Circuit Court of Cook County, Illinois, and the case was subsequently settled).
